These Terms and Conditions govern your access to and use of the OSQR Pay mobile application, website, merchant services, digital wallet and all related products and services made available by OSQR.
By downloading, registering for, accessing or using OSQR Pay, you acknowledge that you have read, understood and agreed to be bound by these Terms and Conditions, together with our Privacy Policy and any additional policies or service-specific terms that may apply.
If you do not agree with these Terms and Conditions, you must not create an account or use the OSQR Pay platform.
OSQR continually invests in technology and innovation to improve customer experience. As our products and services evolve, these Terms and Conditions may be updated from time to time in accordance with applicable South African law. Users will be notified of material changes before they become effective.

About OSQR Technologies (Pty) Ltd
2.1 OSQR Technologies (Pty) Ltd ("OSQR") is a South African financial technology (FinTech) company committed to transforming the way individuals, businesses and communities interact with financial services.
2.2 OSQR combines innovative technology with secure payment infrastructure to deliver fast, convenient and personalised digital financial solutions that improve the everyday payment experience for consumers and merchants.
2.3 OSQR's strategic focus is built on four core principles:
Personalisation – delivering tailored financial solutions based on customers' individual needs and behaviours;
Seamless Delivery – creating frictionless digital payment experiences across multiple industries and channels;
Relevance – developing products and services that solve real-world financial challenges for South African consumers and businesses; and
Speed – leveraging modern technology to facilitate efficient, secure and reliable payment services.
2.4 OSQR's vision is to create an inclusive digital financial ecosystem that empowers consumers, merchants, small and medium enterprises (SMEs), informal traders, public transport operators, retailers and corporate organisations through innovative financial technology.
2.5 OSQR Pay is the flagship digital payment platform within the OSQR ecosystem and serves as a universal mobile wallet through which users may access payment services, merchant services, loyalty programmes, rewards, digital financial products and other value-added services offered by OSQR or its authorised partners.
2.6 Certain financial, banking, settlement and payment services available through OSQR Pay may be provided by, or in conjunction with, licensed banks, payment service providers and other authorised financial institutions in accordance with applicable South African law.
Definitions
Unless the context indicates otherwise, the following words and expressions shall have the meanings assigned to them below:
Account means a registered OSQR Pay user profile created to access the Services.
Applicable Law means all legislation, regulations, directives and industry standards applicable within the Republic of South Africa.
Business Day means any day other than a Saturday, Sunday or official public holiday in South Africa.
Customer or User means any natural or juristic person registered to use OSQR Pay.
Digital Wallet means the secure electronic wallet provided through the OSQR Pay Platform that enables Users to store payment credentials, authorised payment instruments and access OSQR services.
Merchant means any registered business, informal trader, retailer, transport operator or other organisation authorised to accept payments through OSQR Pay.
OSQR, we, our, or us means OSQR Technologies (Pty) Ltd.
OSQR Ecosystem means the integrated network of products, services, merchants, transport operators, financial institutions, reward programmes and digital solutions made available through the OSQR platform.
OSQR Pay means the mobile application, digital wallet, payment platform and related services operated by OSQR.
Payment Instrument includes debit cards, credit cards, bank accounts, prepaid cards, virtual cards and any other payment method supported by OSQR Pay.
QR Code means a Quick Response Code generated or recognised by OSQR Pay to initiate, receive or authenticate a transaction.
Rewards means loyalty points, cashback, incentives or promotional benefits earned through qualifying transactions.
Services means all products and services made available through OSQR Pay from time to time.
Transaction means any payment, transfer, purchase, withdrawal, deposit, reward allocation or other financial activity processed through OSQR Pay.
Website means any official OSQR website or online platform operated by OSQR.
Acceptance of these Terms
4.1 These Terms and Conditions constitute a legally binding agreement between OSQR Technologies (Pty) Ltd ("OSQR") and every User who accesses or uses the OSQR Pay Platform.
4.2 By downloading, installing, accessing, registering for or using OSQR Pay, you acknowledge that you have read, understood and agree to be bound by these Terms and Conditions, our Privacy Policy, and any additional policies or service-specific terms published by OSQR from time to time.
4.3 If you do not agree to these Terms and Conditions, you must immediately discontinue use of the OSQR Pay Platform and uninstall the application from your device.
4.4 These Terms apply to all users of the OSQR Pay Platform, including consumers, merchants, transport operators, retailers, corporate users, small and medium enterprises (SMEs), informal traders and any other authorised participants within the OSQR Ecosystem.
4.5 Where a specific product or service is subject to additional terms, those additional terms shall apply together with these Terms. In the event of any conflict, the service-specific terms shall prevail only to the extent of that conflict.
Eligibility
5.1 To register for and use OSQR Pay, you must:
a.be at least eighteen (18) years of age, or the age of legal majority under applicable South African law;
b. possess the legal capacity to enter into a binding agreement;
c. provide accurate, complete and up-to-date information during registration;
d. maintain the accuracy of your account information at all times; and
e. comply with all applicable laws and these Terms and Conditions.
5.2 OSQR may, where permitted by law, make services available to minors through accounts opened or supervised by a parent, legal guardian or other authorised person, subject to additional conditions published by OSQR.
5.3 Business entities, merchants and other organisations registering on OSQR Pay warrant that the individual creating the account has the authority to bind that entity to these Terms and Conditions.
5.4 OSQR reserves the right to refuse any application, suspend registration or decline access to the Platform where:
the information supplied is false, misleading or incomplete;
identity verification cannot be completed;
registration would violate applicable law or regulatory requirements; or
OSQR reasonably believes that registration presents an unacceptable legal, financial or security risk.
5.5 Registration with OSQR Pay does not automatically entitle a User to access every product or service within the OSQR Ecosystem. Certain services may require additional verification, approvals or acceptance of supplementary terms.
Account Registration
6.1 To access the Services, a User must create an OSQR Pay Account through the official mobile application or any other registration channel approved by OSQR.
6.2 During registration, Users may be required to provide:
Full name;
South African Identity Number or Passport Number (where applicable);
Mobile telephone number;
Email address;
Residential or business address;
Date of birth;
Proof of identity;
Selfie or biometric verification where required;
Any additional information necessary to comply with applicable legislation or regulatory requirements.
6.3 OSQR may verify any information supplied during registration using authorised third-party verification services.
6.4 Users authorise OSQR to conduct identity verification, fraud prevention, anti-money laundering, sanctions screening and other compliance checks where required by law or reasonably necessary to protect the integrity of the Platform.
6.5 Users are responsible for ensuring that all information provided remains accurate and current. Failure to update account information may result in delayed transactions, restricted services or suspension of the Account.
6.6 Each User may maintain only those accounts permitted by OSQR. Duplicate, fraudulent or fictitious accounts may be suspended or permanently closed without prior notice.
6.7 Registration does not guarantee approval for all OSQR products or financial services. Certain services may require additional verification, contractual agreements or regulatory approvals before activation.
Identity Verification (Know Your Customer and FICA Compliance)
7.1 OSQR is committed to maintaining the integrity, security and lawful operation of the OSQR Ecosystem. To comply with applicable legislation, including the Financial Intelligence Centre Act, 2001 ("FICA"), and other anti-money laundering and counter-terrorist financing obligations, Users may be required to complete identity verification before accessing certain Services.
7.2 Depending on the nature of the Service, OSQR may request one or more of the following:
A valid South African Identity Document, Smart ID Card or Passport;
A valid visa or permit where applicable;
Proof of residential address;
Proof of business registration for merchant accounts;
Tax identification information where required;
A recent photograph or biometric verification;
Any additional documentation reasonably required to satisfy regulatory obligations.
7.3 OSQR may verify the information provided using authorised third-party verification services, government databases, licensed credit bureaux or other lawful sources.
7.4 Users consent to OSQR conducting ongoing verification, sanctions screening, politically exposed person (PEP) screening, fraud detection and other compliance checks where required by law or reasonably necessary to protect the Platform.
7.5 OSQR reserves the right to: a. request updated verification information at any time; b. place temporary restrictions on an Account while verification is being completed; c. decline or delay Transactions pending verification; and d. suspend or terminate an Account where a User fails to satisfy applicable verification requirements or where fraudulent or unlawful activity is reasonably suspected.
7.6 Users warrant that all information and documentation submitted to OSQR is accurate, complete and not misleading. The submission of false, altered or fraudulent documentation constitutes a material breach of these Terms and may result in immediate suspension or termination of the Account, reporting to the relevant authorities and any other remedies available under applicable law.
7.7 OSQR will process all personal information collected during identity verification in accordance with its Privacy Policy and applicable South African data protection legislation.
Creating Your OSQR Pay Wallet
8.1 Upon successful registration and, where applicable, completion of identity verification, OSQR will create a Digital Wallet linked to the User's Account.
8.2 The Digital Wallet is designed to serve as the User's primary point of interaction within the OSQR Ecosystem and may enable the User to:
securely store eligible debit cards, credit cards and payment credentials;
link compatible bank accounts;
make QR code payments;
receive and send eligible payments;
participate in rewards and loyalty programmes;
access merchant offers and promotions;
pay participating transport operators;
make purchases from participating retailers and merchants; and
access additional products and services introduced by OSQR from time to time.
8.3 The availability of specific wallet features may vary depending on the User's verification status, banking partner integrations, device compatibility, regulatory requirements and geographic availability.
8.4 The User acknowledges that payment credentials stored within the Digital Wallet may be securely tokenised or otherwise protected using industry-standard security technologies to minimise the risk of unauthorised access.
8.5 OSQR may establish transaction limits, wallet balance limits, usage limits or feature restrictions in accordance with applicable laws, risk management requirements and operational policies.
8.6 The Digital Wallet remains the property of OSQR and is licensed to the User solely for personal or authorised business use in accordance with these Terms and Conditions.
Security of Your Account
9.1 The security of your OSQR Pay Account is your responsibility. You are responsible for maintaining the confidentiality of your login credentials, passwords, PINs, biometric authentication methods and any other security information associated with your Account.
9.2 You must take all reasonable steps to prevent unauthorised access to your Account, including safeguarding your mobile device and ensuring that your authentication credentials are not disclosed to any third party.
9.3 You agree to:
create and maintain strong authentication credentials;
immediately notify OSQR if you suspect that your Account or device has been lost, stolen or compromised;
promptly update your contact details where they change;
log out of your Account when using shared or public devices; and
comply with any security procedures implemented by OSQR from time to time.
9.4 OSQR may require multi-factor authentication, biometric verification, one-time passwords (OTPs), device recognition or other security measures before permitting access to your Account or processing certain Transactions.
9.5 OSQR will never request your password, PIN or one-time password by telephone, email, SMS or social media. Users must immediately report any person claiming to represent OSQR who requests such information.
9.6 Where OSQR reasonably believes that an Account has been compromised or presents a security risk, OSQR may temporarily suspend access, decline Transactions or require additional verification before restoring access.
9.7 Users remain responsible for all authorised Transactions initiated using their authentication credentials unless otherwise provided by applicable law.
Permitted Use of OSQR Pay
10.1 OSQR grants each User a limited, non-exclusive, non-transferable and revocable licence to access and use the OSQR Pay Platform in accordance with these Terms and Conditions.
10.2 Users may use OSQR Pay solely for lawful purposes and only in the manner intended by OSQR.
10.3 Users may use OSQR Pay to:
store eligible payment credentials;
make authorised QR code payments;
receive eligible payments;
participate in loyalty and rewards programmes;
transact with participating merchants;
pay participating public transport operators;
access approved financial products and services;
interact with other services forming part of the OSQR Ecosystem.
10.4 Users must not:
use the Platform for any unlawful purpose;
commit fraud or facilitate fraudulent activity;
launder money or finance terrorism;
impersonate another person or organisation;
interfere with the operation or security of the Platform;
upload malicious software or harmful code;
attempt to gain unauthorised access to any OSQR systems;
reverse engineer, decompile or copy any part of the Platform except where permitted by law;
use OSQR Pay to process Transactions on behalf of another person without authority;
use the Platform in a manner that may damage the reputation, integrity or security of OSQR or its partners.
10.5 OSQR reserves the right to investigate any suspected breach of these Terms and to take appropriate action, including suspension or termination of an Account, reporting unlawful conduct to the relevant authorities and pursuing any remedies available under law.
Digital Wallet Services
11.1 OSQR Pay provides Users with a secure Digital Wallet that enables eligible payment instruments and related services to be accessed through a single mobile application.
11.2 Subject to eligibility requirements and technical compatibility, the Digital Wallet may allow Users to:
securely store payment credentials;
link supported debit and credit cards;
link approved bank accounts;
initiate QR code payments;
receive payments from participating users and merchants;
access loyalty and rewards programmes;
store eligible digital vouchers, transport credentials or other value-added services introduced by OSQR from time to time.
11.3 Payment credentials stored within the Digital Wallet may be tokenised or otherwise secured using industry-recognised security standards.
11.4 OSQR does not store Users' confidential card verification values (CVV/CVC) unless expressly permitted by applicable law and the relevant payment scheme rules.
11.5 Availability of wallet functionality may depend upon:
the User's verification status;
participating financial institutions;
device compatibility;
network connectivity;
regulatory approvals; and
operational considerations.
11.6 OSQR reserves the right to introduce, modify, suspend or discontinue wallet features where reasonably necessary for security, operational, commercial or regulatory reasons.
Nature of the OSQR Pay Platform
11.1 OSQR Pay is a financial technology and digital commerce platform designed to facilitate secure digital payments, merchant interactions, loyalty programmes and other value-added financial services within the OSQR Ecosystem.
11.2 Unless expressly stated otherwise in relation to a specific product or service, OSQR is not a deposit-taking institution or a licensed bank. The OSQR Pay Digital Wallet is not a traditional bank account and should not be interpreted as creating a banking relationship between a User and OSQR.
11.3 Certain financial, payment, settlement and banking services made available through the Platform are provided by, or in partnership with, licensed banks, payment service providers and other authorised financial institutions. Those services remain subject to the terms, conditions and regulatory requirements of the relevant provider.
11.4 Where a User links a debit card, credit card or bank account to the OSQR Pay Digital Wallet, ownership of the underlying funds remains with the issuing financial institution and the User in accordance with the applicable banking agreement.
11.5 The OSQR Pay Platform serves as a secure digital interface through which Users may access supported payment instruments, initiate Transactions, participate in rewards programmes and utilise value-added services within the OSQR Ecosystem.
11.6 Nothing contained in these Terms shall be interpreted as granting OSQR authority to alter the contractual relationship between a User and their bank, card issuer or any other regulated financial institution.
11.7 The availability of certain Services may depend upon agreements between OSQR and participating financial institutions, merchants, transport operators and other authorised partners. OSQR reserves the right to modify, expand or discontinue such Services where necessary to comply with legal, operational or commercial requirements.
11.8 As the OSQR Ecosystem evolves, additional products and services may be introduced. Such products and services may be subject to supplementary terms and conditions, which shall form part of these Terms upon acceptance by the User.
Payment Services
12.1 OSQR Pay enables Users to initiate, authorise, receive and manage eligible electronic payment Transactions through supported payment methods available within the Platform.
12.2 Subject to eligibility, verification requirements and applicable law, Users may use OSQR Pay to:
make payments to participating merchants;
purchase goods and services;
pay participating public transport operators;
transfer funds to other eligible Users;
receive payments from participating Users or merchants;
complete QR code-based Transactions;
access additional payment services introduced by OSQR from time to time.
12.3 Every Transaction initiated through OSQR Pay is deemed to have been authorised by the User where:
the User authenticates the Transaction using an approved authentication method;
the User scans or presents an authorised QR Code;
the User confirms payment using the OSQR Pay application; or
another authentication process approved by OSQR has been successfully completed.
12.4 Once a Transaction has been authorised, it may not be cancelled unless: a. the applicable payment scheme permits cancellation; b. the receiving merchant or financial institution agrees to the cancellation; or c. applicable law requires the Transaction to be reversed.
12.5 OSQR will use reasonable efforts to process Transactions promptly. However, processing times may vary depending on:
participating banks;
payment networks;
telecommunications providers;
merchants;
public transport operators;
system maintenance;
regulatory requirements; or
events beyond OSQR's reasonable control.
12.6 OSQR does not guarantee uninterrupted or immediate processing of every Transaction. Delays may occur due to technical failures, network interruptions, fraud prevention measures or operational constraints.
12.7 Users remain responsible for verifying the accuracy of payment details before authorising any Transaction. OSQR shall not be responsible for losses arising from incorrect information provided by the User unless required by applicable law.
12.8 OSQR may refuse, delay or suspend the processing of any Transaction where it reasonably believes that:
fraud or unlawful activity may be involved;
additional verification is required;
regulatory obligations require intervention;
processing would expose OSQR or its partners to unacceptable legal, financial or operational risk; or
the Transaction exceeds applicable limits.
12.9 OSQR may establish daily, weekly, monthly or per-Transaction limits for operational, security, regulatory or risk management purposes. Such limits may be amended from time to time and will be communicated through the Platform where reasonably practicable.
OSQR Ecosystem Integration
13.1 OSQR Pay is the primary digital gateway to the OSQR Ecosystem and has been designed to provide Users with a unified platform through which to access digital payment services, merchant services, transport solutions, loyalty programmes and other value-added financial and commercial services.
13.2 The User acknowledges that the OSQR Ecosystem is intended to evolve over time through the introduction of new products, technologies, partnerships and services.
13.3 Subject to applicable law, OSQR may introduce additional functionality to the Platform, including but not limited to:
digital identity services;
transport ticketing and fare collection;
merchant marketplaces;
digital vouchers and gift cards;
savings and investment products;
insurance products;
lending and credit solutions;
bill payment services;
government and municipal payment services;
educational payment solutions;
healthcare payment solutions;
payroll and salary services; and
any other products or services approved by OSQR from time to time.
13.4 Certain products and services may be offered directly by OSQR or through authorised third-party partners. Such products may be governed by additional terms and conditions, which shall be presented to the User before activation of the relevant Service.
13.5 The introduction of additional Services shall not affect the validity of these Terms and Conditions. Where supplementary terms apply, those terms shall be read together with these Terms.
13.6 OSQR reserves the right to modify, suspend or discontinue any feature or Service forming part of the OSQR Ecosystem where reasonably necessary for operational, security, regulatory or commercial purposes.
13.7 Nothing in this section obliges OSQR to introduce any specific product or service, nor does it guarantee the continued availability of any existing feature.
Linking Payment Instruments
14.1 Users may link eligible payment instruments to their Digital Wallet, subject to compatibility, verification requirements and applicable law.
14.2 Supported payment instruments may include:
debit cards;
credit cards;
prepaid cards;
virtual cards;
bank accounts;
digital payment accounts;
other payment methods approved by OSQR from time to time.
14.3 The User warrants that: a. each payment instrument belongs to the User or that the User has lawful authority to use it; b. all information supplied is complete and accurate; and c. the linked payment instrument has not been obtained fraudulently or unlawfully.
14.4 OSQR may verify ownership of any payment instrument through micro-authorisations, authentication requests, one-time passwords, biometric verification or other industry-approved verification methods.
14.5 For security purposes, OSQR may tokenise payment credentials or use other recognised security technologies to protect payment information.
14.6 OSQR may decline to link any payment instrument where:
verification cannot be completed;
the issuing institution declines the request;
fraud is suspected;
regulatory obligations require refusal; or
the payment instrument is not supported by the Platform.
14.7 Users may remove linked payment instruments at any time, provided that such removal does not affect Transactions already authorised or pending settlement.
14.8 OSQR may suspend or remove any linked payment instrument where reasonably necessary to protect Users, merchants, participating financial institutions or the integrity of the Platform.
QR Code Payments
15.1 QR Code technology is the primary payment mechanism supported by OSQR Pay and enables Users to initiate secure electronic Transactions with participating merchants, businesses, transport operators and other authorised participants.
15.2 Users may complete QR Code Transactions by:
scanning an authorised QR Code displayed by a participating merchant or service provider;
presenting a dynamic or static QR Code generated by the OSQR Pay Platform;
using Near Field Communication (NFC), tap-to-pay or other supported technologies where available; or
any other payment method approved by OSQR.
15.3 Before authorising a QR Code Transaction, the User must verify:
the identity of the receiving merchant or beneficiary;
the Transaction amount;
the payment method selected; and
any applicable fees.
15.4 By confirming a QR Code Transaction, the User authorises OSQR and its authorised payment partners to process the Transaction in accordance with these Terms.
15.5 A completed QR Code Transaction constitutes a valid electronic instruction and may be relied upon by OSQR, participating merchants and authorised financial institutions as evidence of the User's payment authorisation.
15.6 Users must not intentionally alter, reproduce, manipulate or create fraudulent QR Codes for use within or outside the OSQR Ecosystem.
15.7 OSQR reserves the right to reject any QR Code Transaction where the authenticity of the QR Code cannot be verified or where fraud, system compromise or regulatory concerns are reasonably suspected.
Merchant Services
16.1 OSQR Pay provides digital payment acceptance solutions for registered merchants, including retailers, small and medium enterprises (SMEs), informal traders, spaza shops, transport operators, service providers, corporate entities and other approved businesses.
16.2 Merchant Services may include:
QR Code payment acceptance;
Point-of-Sale (POS) payment solutions;
Tap-to-Pay technologies;
Merchant settlement services;
Digital invoicing;
Business payment reporting;
Customer loyalty integration;
Promotional campaign management;
Merchant analytics and other value-added business services introduced by OSQR from time to time.
16.3 Every Merchant must complete the registration and verification process prescribed by OSQR before accepting payments through the Platform.
16.4 Merchants warrant that: a. they are legally entitled to conduct business within the Republic of South Africa; b. all information supplied to OSQR is accurate and complete; c. they will comply with all applicable laws, including consumer protection, tax and financial services legislation; and d. they will maintain appropriate business records where required by law.
16.5 Merchants remain solely responsible for:
the quality, safety and legality of goods or services sold;
pricing of goods and services;
customer warranties;
refunds required under applicable law;
compliance with the Consumer Protection Act, 2008.
16.6 OSQR acts solely as a payment platform unless expressly stated otherwise and shall not be responsible for disputes relating to the quality, delivery or suitability of goods or services supplied by Merchants.
16.7 OSQR reserves the right to suspend or terminate Merchant Services where a Merchant:
engages in fraudulent or unlawful conduct;
breaches these Terms;
creates excessive operational or financial risk;
damages the reputation or integrity of the OSQR Ecosystem.
Public Transport Payments
17.1 One of the objectives of OSQR Pay is to simplify fare payments across participating public transport networks through secure digital payment technology.
17.2 Subject to agreements with participating transport operators, Users may use OSQR Pay to:
pay transport fares;
purchase digital travel tickets;
validate journeys through QR Codes, NFC or other approved technologies;
access transport-related rewards and promotional programmes;
receive travel receipts and transaction histories electronically.
17.3 Transport operators participating in the OSQR Ecosystem may establish their own fare structures, operating schedules and transport conditions. OSQR is not responsible for determining transport fares or operating services.
17.4 Users acknowledge that transport services are provided by independent transport operators. OSQR facilitates payment processing only and is not responsible for:
delays;
cancellations;
route changes;
passenger safety;
service quality; or
operational decisions made by transport operators.
17.5 Where a transport payment cannot be completed due to technical failure, network interruption or other operational circumstances, OSQR will use reasonable efforts to process the payment as soon as reasonably practicable or otherwise deal with the Transaction in accordance with applicable law and the relevant transport operator agreement.
17.6 Additional transport-specific terms may apply to certain transport services and shall be presented to Users where required.
Loyalty and Rewards Programme
18.1 OSQR recognises customer loyalty as a fundamental part of its digital ecosystem. Subject to eligibility requirements, Users may participate in the OSQR Loyalty and Rewards Programme.
18.2 The Programme is intended to reward meaningful participation within the OSQR Ecosystem by providing value-based incentives linked to eligible Transactions and customer engagement.
18.3 Rewards may include:
reward points;
cashback;
merchant discounts;
promotional offers;
transport benefits;
digital vouchers;
partner benefits; and
any additional incentives introduced by OSQR from time to time.
18.4 Rewards are earned only on qualifying Transactions determined by OSQR and participating partners.
18.5 Rewards have no cash value unless expressly stated otherwise.
18.6 OSQR reserves the right to:
determine the value of Rewards;
amend earning criteria;
modify redemption rules;
introduce promotional campaigns;
suspend or terminate the Programme where reasonably necessary.
18.7 Any fraudulent activity, abuse of the Programme or manipulation of Transactions intended to obtain Rewards unfairly may result in forfeiture of Rewards, suspension of the User's Account and any other remedies available under law.
18.8 Rewards remain subject to any additional Programme Terms published by OSQR.
Group Banking and Community Financial Services
19.1 OSQR Pay may provide digital financial solutions designed to enable individuals, communities, businesses and organisations to manage shared financial activities through the Platform.
19.2 Group Banking Services may include:
community savings groups;
stokvel management;
family wallets;
business wallets;
corporate payment groups;
shared expense management;
fundraising initiatives;
community investment programmes; and
any additional collaborative financial services introduced by OSQR from time to time.
19.3 Each Group shall appoint one or more Administrators responsible for:
inviting and managing Group members;
administering permissions;
authorising transactions where applicable;
ensuring compliance with the Group's operating rules.
19.4 Group Administrators act on behalf of the Group only to the extent authorised by the Group's members and applicable law.
19.5 Every Group member remains individually responsible for Transactions initiated using their own credentials unless expressly authorised otherwise through the Platform.
19.6 OSQR provides the technology platform for Group Banking but is not responsible for:
disputes between members;
decisions relating to contributions or distributions;
internal governance of Groups;
losses arising from instructions given by authorised Group Administrators, except where caused by OSQR's negligence or wilful misconduct.
19.7 Certain Group Banking Services may require additional verification, agreements or regulatory approvals before activation.
19.8 OSQR reserves the right to suspend or terminate Group Banking Services where fraudulent, unlawful or abusive activity is reasonably suspected.
Fees and Charges
20.1 Registration for an OSQR Pay Account is free unless otherwise stated.
20.2 OSQR may charge fees for certain Services, including but not limited to:
payment processing;
merchant acquiring;
cash withdrawal or cash deposit services;
premium features;
value-added financial services;
settlement services;
transport payment services; and
other specialised products introduced from time to time.
20.3 All applicable fees will be disclosed to the User before a Transaction is authorised, except where otherwise permitted by applicable law.
20.4 By authorising a Transaction, the User agrees to the applicable fees associated with that Transaction.
20.5 Fees may be amended from time to time. Where required by law, Users will receive reasonable notice before material fee changes become effective.
20.6 Government taxes, levies or statutory charges imposed by law remain the responsibility of the User or Merchant where applicable.
20.7 Unless expressly stated otherwise, all fees are quoted in South African Rand (ZAR).
20.8 Promotional pricing or fee waivers may be offered at OSQR's discretion and may be withdrawn or amended at any time in accordance with applicable law.
Settlement, Reversals and Refunds
21.1 OSQR will facilitate settlement of eligible Transactions in accordance with applicable payment network rules, banking partner arrangements and operational procedures.
21.2 Settlement times may vary depending on:
the payment method used;
banking partner processing;
merchant settlement cycles;
weekends and public holidays;
regulatory requirements; and
operational circumstances beyond OSQR's reasonable control.
21.3 A Transaction authorised by a User is generally considered final once successfully processed. However, a Transaction may be reversed where:
required by applicable law;
authorised by the receiving Merchant;
necessary to correct a processing error;
directed by a court, regulator or competent authority; or
otherwise permitted under the applicable payment scheme rules.
21.4 Refunds for goods and services remain the responsibility of the Merchant supplying those goods or services unless otherwise provided by law or agreed between the Merchant and the User.
21.5 OSQR may assist Users and Merchants in facilitating refund requests but does not guarantee that a refund will be approved where the underlying dispute relates to the quality, delivery or suitability of goods or services.
21.6 Users must notify OSQR as soon as reasonably possible after becoming aware of any unauthorised, incorrect or duplicate Transaction.
21.7 OSQR reserves the right to investigate disputed Transactions and may request additional information from Users, Merchants or participating financial institutions before determining the appropriate course of action.
Privacy and Protection of Personal Information
22.1 OSQR respects the privacy of its Users and is committed to protecting Personal Information in accordance with the Protection of Personal Information Act, 2013 ("POPIA"), the Electronic Communications and Transactions Act, 2002 ("ECTA"), and all other applicable South African legislation.
22.2 In order to provide the Services, OSQR may collect, process, store, verify and share Personal Information where reasonably necessary for:
creating and administering User Accounts;
verifying identity and complying with Know Your Customer (KYC) and Financial Intelligence Centre Act (FICA) obligations;
processing Transactions;
preventing fraud, financial crime and unauthorised activity;
improving the Platform and customer experience;
administering loyalty and rewards programmes;
communicating with Users regarding the Services;
complying with legal, regulatory or contractual obligations.
22.3 Personal Information may include, but is not limited to:
full names;
identity or passport numbers;
contact information;
residential or business addresses;
banking and payment information;
biometric information where permitted by law;
device information;
location information where required for a Service;
transaction history.
22.4 OSQR will implement appropriate technical and organisational safeguards to protect Personal Information against loss, misuse, unauthorised access, disclosure, alteration or destruction.
22.5 OSQR will not sell Users' Personal Information. Personal Information will only be disclosed:
where the User has provided consent;
where required by law;
to authorised service providers acting on behalf of OSQR;
to participating financial institutions where necessary to provide the Services;
to regulators, law enforcement agencies or courts where legally required.
22.6 Users have the rights afforded under POPIA, including the right to request access to, correction of or deletion of Personal Information where permitted by law.
22.7 Further information regarding OSQR's processing of Personal Information is contained in the OSQR Privacy Policy, which forms part of these Terms and Conditions.
Intellectual Property
23.1 The OSQR Pay Platform, including its software, source code, applications, designs, trademarks, logos, graphics, databases, user interfaces, content and underlying technology, are owned by or licensed to OSQR and are protected under applicable intellectual property laws.
23.2 Nothing contained in these Terms transfers ownership of any intellectual property rights to the User.
23.3 Users are granted a limited, non-exclusive, non-transferable and revocable licence to use the Platform solely for its intended purpose and in accordance with these Terms.
23.4 Users must not:
copy, reproduce or distribute the Platform without authorisation;
reverse engineer, decompile or disassemble any software;
modify or create derivative works;
remove copyright or proprietary notices;
use the OSQR name, trademarks or branding without prior written consent.
23.5 Any suggestions, ideas or feedback voluntarily submitted by Users regarding improvements to the Platform may be used by OSQR without compensation, subject to applicable law.
23.6 All goodwill arising from the use of the OSQR name, trademarks and branding shall accrue exclusively to OSQR.
Fraud Prevention and Financial Crime
24.1 OSQR maintains a zero-tolerance approach to fraud, money laundering, terrorist financing, corruption, cybercrime and all other forms of financial crime.
24.2 Users must not use the Platform:
for unlawful purposes;
to facilitate fraudulent Transactions;
to conceal the proceeds of crime;
to finance terrorism;
to evade sanctions;
to impersonate another person or organisation;
to interfere with the integrity or security of the Platform.
24.3 OSQR may monitor Transactions, Accounts and Platform activity using automated systems, artificial intelligence, transaction monitoring tools and other lawful methods for the purpose of detecting suspicious or unlawful activity.
24.4 Where reasonably necessary, OSQR may:
delay or decline Transactions;
freeze or restrict Accounts;
request additional verification;
report suspicious activity to the Financial Intelligence Centre or other competent authorities;
cooperate with law enforcement agencies and regulators.
24.5 Users acknowledge that OSQR may be legally prohibited from disclosing certain investigations or reports relating to suspected financial crime.
24.6 Nothing contained in these Terms limits OSQR's obligations under applicable anti-money laundering, counter-terrorist financing or financial crime legislation.
Artificial Intelligence, Automation and Digital Innovation
25.1 As a technology-driven financial services platform, OSQR may utilise Artificial Intelligence ("AI"), machine learning, automation and other emerging technologies to improve the security, efficiency and quality of its Services.
25.2 AI and automated technologies may be used for purposes including, but not limited to:
fraud detection and prevention;
transaction monitoring;
identity verification;
cybersecurity;
customer support;
service personalisation;
loyalty and rewards optimisation;
merchant analytics;
operational efficiency;
accessibility improvements; and
product development.
25.3 Where automated decision-making may materially affect a User's rights or access to Services, OSQR will implement appropriate governance measures and, where required by applicable law, provide opportunities for human review.
25.4 OSQR is committed to the responsible, ethical and lawful use of Artificial Intelligence and will implement appropriate safeguards to minimise bias, protect Personal Information and maintain transparency in accordance with applicable legislation.
25.5 Users acknowledge that certain Platform features may rely on automated systems and consent to such processing where necessary for the provision of the Services.
Limitation of Liability
26.1 To the fullest extent permitted by applicable law, OSQR shall not be liable for any indirect, incidental, consequential, special or punitive damages arising from or relating to the use of the Platform.
26.2 OSQR does not warrant that the Platform will operate uninterrupted or error-free at all times.
26.3 OSQR shall not be responsible for delays or failures caused by:
telecommunications failures;
internet interruptions;
electrical outages;
banking network failures;
payment scheme outages;
cyber-attacks beyond OSQR's reasonable control;
force majeure events; or
actions of third parties.
26.4 OSQR shall not be liable for losses resulting from:
incorrect payment instructions supplied by a User;
unauthorised access resulting from a User's failure to protect authentication credentials;
disputes between Users and Merchants regarding goods or services;
actions of independent banking partners, transport operators or third-party service providers.
26.5 Nothing contained in these Terms excludes or limits any rights that cannot lawfully be excluded under South African law, including the Consumer Protection Act, 2008.
User Indemnity
27.1 The User agrees to indemnify and hold harmless OSQR, its directors, employees, officers, affiliates, authorised partners and service providers against any losses, damages, claims, liabilities, costs or expenses arising from:
the User's breach of these Terms;
unlawful use of the Platform;
negligent or fraudulent conduct by the User;
infringement of the rights of any third party;
misuse of the User's Account or authentication credentials.
27.2 This indemnity shall not apply to the extent that any loss results directly from the gross negligence, fraud or wilful misconduct of OSQR or where liability cannot lawfully be excluded under applicable legislation.
Suspension and Termination
28.1 OSQR may suspend, restrict or terminate access to the Platform where:
required by law;
instructed by a regulator or competent authority;
fraud or unlawful conduct is reasonably suspected;
the User breaches these Terms;
continued access presents unacceptable operational, financial or reputational risk.
28.2 Where reasonably practicable, OSQR will notify the User before or promptly after suspension, unless prohibited by law or where doing so would compromise fraud prevention or regulatory investigations.
28.3 A User may close their Account at any time through the Platform or by contacting OSQR Customer Support, subject to the completion of outstanding Transactions, settlement obligations and any legal or regulatory requirements.
28.4 Termination of an Account does not affect rights or obligations accrued before the date of termination.
28.5 OSQR may retain records after termination where required by law or for legitimate business, audit or regulatory purposes.
Complaints and Customer Support
29.1 OSQR is committed to providing a fair, transparent and responsive customer service experience. Users are encouraged to report any concerns, complaints or service-related issues as soon as reasonably possible.
29.2 Users may submit complaints through any customer support channel approved by OSQR, including:
the OSQR Pay Platform;
email;
telephone;
the official OSQR website;
or any other communication channel designated by OSQR from time to time.
29.3 A complaint should include sufficient information to enable OSQR to investigate the matter, including:
the User's name and Account details;
a description of the complaint;
the date and time of the incident;
transaction reference numbers, where applicable; and
any supporting documentation.
29.4 Upon receipt of a complaint, OSQR will: a. acknowledge receipt within a reasonable period; b. investigate the complaint fairly and objectively; c. keep the User informed of material developments where appropriate; and d. communicate the outcome together with any available remedies.
29.5 Where a complaint involves a third-party Merchant, transport operator, banking partner or service provider, OSQR may refer the complaint to that party while continuing to assist the User where reasonably possible.
29.6 Submission of a complaint does not suspend the User's obligations under these Terms unless required by applicable law.
29.7 OSQR shall maintain records of complaints for the period required by applicable legislation and regulatory requirements.
Dispute Resolution
30.1 OSQR encourages the resolution of disputes through open communication and good faith engagement before legal proceedings are commenced.
30.2 Where a dispute arises, the parties shall first attempt to resolve the matter through internal complaint resolution procedures.
30.3 If the dispute cannot be resolved through internal processes, the parties may, by mutual agreement:
participate in mediation;
refer the dispute to an appropriate ombud scheme where applicable;
refer the matter to arbitration; or
pursue any other dispute resolution mechanism recognised under South African law.
30.4 Nothing contained in these Terms prevents either party from approaching a court of competent jurisdiction where urgent relief is required or where applicable legislation provides otherwise.
30.5 This clause shall not limit any statutory rights available to consumers under the Consumer Protection Act, the Electronic Communications and Transactions Act or any other applicable legislation.
Governing Law and Jurisdiction
31.1 These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.
31.2 Subject to any mandatory rights afforded to consumers under applicable legislation, the parties consent to the jurisdiction of the courts of the Republic of South Africa in respect of any dispute arising from or relating to these Terms or the use of the OSQR Pay Platform.
31.3 Where any provision of these Terms conflicts with mandatory provisions of applicable law, the mandatory legal provision shall prevail only to the extent of the conflict, and the remaining provisions shall continue in full force and effect.
31.4 Nothing in these Terms limits the powers or authority of any regulator, supervisory authority or competent government institution having jurisdiction over OSQR or the Services.
Force Majeure
32.1 OSQR shall not be liable for any failure, interruption, delay or inability to perform its obligations under these Terms where such failure results from events beyond its reasonable control ("Force Majeure Event").
32.2 A Force Majeure Event includes, but is not limited to:
natural disasters, including floods, fires, earthquakes and severe weather events;
pandemics, epidemics or public health emergencies;
war, terrorism, civil unrest, riots or sabotage;
strikes, lockouts or labour disputes beyond OSQR's control;
failures of telecommunications networks, internet service providers or mobile networks;
power outages or utility failures;
failures of banking systems, payment networks or payment schemes;
cyber-attacks, ransomware attacks or other widespread technology incidents not caused by OSQR's negligence;
acts or omissions of government authorities or regulators; and
any other event beyond OSQR's reasonable control.
32.3 During a Force Majeure Event, OSQR shall use reasonable efforts to restore Services as soon as reasonably practicable.
32.4 A Force Majeure Event shall not permanently release either party from obligations that accrued before the occurrence of the event, unless otherwise required by law.
Amendments to these Terms and Conditions
33.1 OSQR reserves the right to amend, update or replace these Terms from time to time in order to:
comply with changes in applicable law or regulation;
introduce new products or services;
improve the Platform;
address operational or security requirements;
reflect changes in business practices; or
protect the interests of Users and the OSQR Ecosystem.
33.2 Where required by applicable law, OSQR will provide Users with reasonable notice before material amendments become effective.
33.3 Updated Terms may be published through the OSQR Pay Platform, the official OSQR website or any other communication channel designated by OSQR.
33.4 Continued use of the Platform after the effective date of updated Terms constitutes acceptance of those amendments, unless applicable law requires express acceptance.
33.5 If a User does not agree to the amended Terms, the User may discontinue use of the Platform and close their Account in accordance with these Terms, subject to the completion of any outstanding obligations.
Notices and Electronic Communications
34.1 The User agrees that OSQR may provide notices, disclosures, statements and other communications electronically.
34.2 Communications may be delivered through:
the OSQR Pay Platform;
push notifications;
email;
SMS;
the official OSQR website; or
any other electronic communication method approved by OSQR.
34.3 Electronic communications shall be deemed received: a. immediately upon delivery through the Platform; b. when successfully transmitted by email, unless returned as undeliverable; c. upon successful delivery of an SMS or push notification, subject to network availability.
34.4 Users are responsible for ensuring that their contact information remains accurate and up to date.
34.5 Notices from Users to OSQR shall be submitted through the contact channels published by OSQR from time to time, unless these Terms or applicable law require another method.
General Provisions
35.1 Entire Agreement These Terms, together with the Privacy Policy, applicable product-specific terms and any incorporated policies, constitute the entire agreement between the User and OSQR regarding the use of the Platform.
35.2 Severability If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
35.3 Waiver A failure or delay by OSQR to exercise any right under these Terms shall not constitute a waiver of that right.
35.4 Assignment OSQR may assign, transfer or delegate its rights and obligations under these Terms to an affiliate, successor or authorised third party, provided that such assignment does not materially reduce the User's rights under applicable law. Users may not assign or transfer their rights or obligations without OSQR's prior written consent.
35.5 No Partnership or Agency Nothing in these Terms creates a partnership, joint venture, employment relationship or agency between OSQR and any User, Merchant or third-party service provider.
35.6 Survival Any provisions which by their nature are intended to survive suspension or termination of these Terms, including provisions relating to liability, indemnity, privacy, intellectual property, dispute resolution and governing law, shall remain in effect after termination.
35.7 Electronic Acceptance By registering for, accessing or using the OSQR Pay Platform, the User acknowledges that they have read, understood and agree to be legally bound by these Terms and Conditions.

Definitions and Interpretation
A1. Interpretation
Unless the context indicates otherwise:
words importing the singular include the plural and vice versa;
words importing one gender include every gender;
references to legislation include amendments, replacements and subordinate legislation;
headings are for convenience only and do not affect interpretation;
the words "including", "includes" and "such as" are not exhaustive and shall be interpreted as meaning "including without limitation."
A2. Definitions
Account means a registered OSQR Pay user profile that enables access to the Platform and Services.
Applicable Law means all laws, regulations, directives, regulatory standards and legally binding requirements applicable within the Republic of South Africa.
Business Partner means any approved merchant, retailer, corporate entity, financial institution, transport operator or service provider participating in the OSQR Ecosystem.
Digital Wallet means the secure electronic wallet provided through the Platform allowing Users to store supported payment credentials and access eligible Services.
Merchant means any approved business authorised to accept payments through OSQR Pay.
Mobility Partner means any approved public transport operator, mobility provider or transport-related service participating within the OSQR Ecosystem.
OSQR means OSQR Technologies (Pty) Ltd.
OSQR Ecosystem means the integrated digital environment comprising OSQR Pay, participating financial institutions, merchants, mobility partners, loyalty partners, digital services and future authorised products made available through the Platform.
Personal Information has the meaning assigned under the Protection of Personal Information Act, 2013 (POPIA).
Platform means all digital channels operated by OSQR, including the mobile application, web portals, APIs, merchant systems, POS devices and any future technologies introduced by OSQR.
Services means every product, payment service, digital feature and value-added service provided through the Platform.
Transaction means any payment, transfer, purchase, refund, reversal or other financial instruction processed through the Platform.
User means any natural person or legal entity registered to use the Platform.
Fee Schedule
The following fees may apply to Services offered through the OSQR Pay Platform. Actual fees will be published on the Platform and communicated to Users before becoming effective where required by law.

OSQR reserves the right to amend fees in accordance with Section 33 of these Terms and applicable South African law.
Regulatory Compliance Framework
OSQR is committed to operating in accordance with applicable South African legislation and recognised industry standards.
Depending on the Services provided, OSQR's operations may be subject to, among others:
The Constitution of the Republic of South Africa, 1996;
The Consumer Protection Act, 2008;
The Protection of Personal Information Act, 2013 (POPIA);
The Electronic Communications and Transactions Act, 2002 (ECTA);
The Financial Intelligence Centre Act, 2001 (FICA);
The National Payment System Act, 1998;
Applicable South African Reserve Bank directives;
Applicable Prudential Authority requirements;
Financial Sector Conduct Authority (FSCA) requirements where applicable; and
Any other legislation governing financial services, payments, consumer protection or digital commerce.
OSQR will review and update its policies and operational procedures to remain aligned with changes in legislation and regulatory expectations.
